Terms of Service

These Terms of Service ("Terms") govern your use of the ClipForge mobile application and related services (the "Service"), operated by ClipForge ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ClipForge lets you generate short-form video clips from videos you upload or from video URLs you submit. The Service may automatically add subtitles, suggest titles and hashtags, reframe video for different platforms, and provide related tools. Features vary by subscription plan and may change over time.

2. Your Account

• You must provide accurate information when creating an account and keep your credentials secure.
• You are responsible for all activity that occurs under your account.
• You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service.

3. Your Content & Responsibilities

• You retain all rights to the content you upload and the clips you generate.
• You grant us a limited license to process, store, and transmit your content solely to operate the Service (for example, downloading, encoding, subtitling, and delivering your clips).
• We do not claim ownership of your clips and do not use your content to promote the Service without your permission.

4. Acceptable Use

You agree not to:

• Use the Service to infringe the intellectual property, privacy, or other rights of any person or entity;
• Process content that is unlawful, defamatory, harassing, hateful, or sexually exploitative;
• Attempt to circumvent plan limits, security measures, or usage restrictions;
• Reverse engineer, scrape, resell, or misuse the Service or its infrastructure;
• Use the Service in a way that could disable, overburden, or impair it.

We may suspend or terminate accounts that violate these Terms.

5. Subscriptions & Billing

ClipForge offers a free plan and paid subscription plans. Current plans include:

• Billing & auto-renewal. Subscriptions are billed in advance on a recurring monthly basis through the Apple App Store or our payment provider. Your subscription renews automatically each month unless you cancel at least 24 hours before the end of the current period. Payment is charged to your Apple ID account at confirmation of purchase and at each renewal.
• Cancellation. You can cancel at any time. For purchases made through the App Store, manage or cancel your subscription in your device's Settings → Apple ID → Subscriptions. Cancellation takes effect at the end of the current billing period; you keep paid features until then. Deleting the app or your account does not cancel App Store billing.
• Refunds. Purchases made through the App Store are subject to Apple's refund policies. Other purchases are refundable only where required by law.
• Changes. We may change plan prices or features with reasonable advance notice. Changes apply from your next billing period.
• Team plans. Team subscriptions include up to 3 seats (owner plus 2 invited members) shared via the owner's invite code. Members receive Team-tier features while on the team; leaving or being removed from a team restores a member's previous plan. The team owner is responsible for the subscription and for managing members.
• Usage limits. Monthly clip budgets, quality tiers, and features are enforced per plan. Clip budgets reset monthly. If your remaining budget is smaller than a requested generation, the generation may produce only your remaining number of clips.

6. Content Storage

Generated clips are stored on our servers temporarily (approximately 24 hours) so you can preview, export, and save them. Save clips to your device to keep them. We are not responsible for the loss of clips that were not saved before automatic deletion.

7. Intellectual Property

The Service, including its software, design, and branding, is owned by ClipForge and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or the Service's source code.

8. Third-Party Platforms

The Service can retrieve publicly available videos from supported third-party platforms (currently YouTube and TikTok) at your request, and helps you prepare content for platforms such as TikTok, YouTube Shorts, Instagram, and Facebook. Some platforms and DRM-protected streaming services are not supported as sources. Those platforms are not affiliated with ClipForge, and your use of them is governed by their own terms. You are responsible for complying with the terms of any platform whose content you process or to which you post.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, error-free, or that every video can be processed (for example, protected or restricted videos may fail). AI-generated outputs (subtitles, titles, hashtags, feedback) may contain errors and are suggestions only.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPFORGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You agree to indemnify and hold harmless ClipForge from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or any third party's rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, with reasonable notice where practicable. Sections that by their nature should survive termination (including Sections 7, 9, 10, and 11) will survive.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Courts located in Ontario, Canada will have exclusive jurisdiction over disputes, except where your local law requires otherwise.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version at this page and update the "Last updated" date. Material changes may also be communicated in the app. Continued use of the Service after changes take effect constitutes acceptance.
